Mailbox Rule Applies to Shareholders and Board Meeting Notice
A notice for calling a shareholders or board meeting takes effect as soon as the company sends it to the shareholders or the directors and supervisors within the time limit prescribed under the Company Act. According to a ruling (No. Chin-Shen-Tzi-09302084840) issued by the Ministry of Economic Affairs (MOEA) on June 4, 2004, this mailbox rule applies to the notice for calling a shareholders meeting. On April 9, 2010, the MOEA issued another ruling (No. Chin-Shen-Tzi-09902036620) stating that the same rule applies to the notice for calling a board meeting.
