SUSPENDED CHAIRPERSON CANNOT DESIGNATE DEPUTY
If the chairperson of a company is temporarily barred by a court injunction from performing his duties, then until such time as the injunction is lifted, he may not exercise his duties as chair-person—including the power of the chairperson under the Company Act to designate a deputy to perform his functions. It should be noted that according to an interpretation issued by the Ministry of Economic Affairs on 19 November 2004, even if the chairperson designates a deputy before the court's injunction is executed, such a deputy can not exercise the chairperson's powers of office after the injunction is executed, so that the purposes of the injunction can be carried out.
