UNAUTHORIZED HOLDING OF COMPANY SEALS
The company seal and chairperson's seal are required by the companies registration authority when a company applies to make changes to its registered details. The seals are required only for such purposes and have no other legal effect toward third parties. Therefore, as indicated by the MOEA's interpretation dated 3 May 2001, if a company's original seal is in the unauthorized possession of a person who refuses to return it, so that the company is unable to use it, a responsible person of the company may apply with the reg-istration authority to change the company seal; provided that the identity of the company's old and new chairpersons is undisputed, and the chairperson was appointed by lawful procedure. The company should also initiate legal pro-ceedings for the return of the seal, and the documents evidencing the litigation must be submitted in support of the application for change of the company seal.
